THESE TRIAL STRUCTURE ONLINE LIBRARY TERMS OF USE (THE “TERMS”) ARE A LEGAL CONTRACT BETWEEN TRIAL STRUCTURE, LLC (“TS”, “WE”, OR “US”) AND THE PERSON(S) AND/OR ENTITY(IES) (“YOU” OR “SUBSCRIBER”) THAT HAS/HAVE REGISTERED FOR AN ACCOUNT (“ACCOUNT”) TO ACCESS THE TRIAL STRUCTURE ONLINE LIBRARY (THE “LIBRARY”). THESE TERMS, TOGETHER WITH ANY OTHER TERMS, CONDITIONS, OR POLICIES REFERENCED HEREIN AND INCORPORATED INTO THESE TERMS BY THIS REFERENCE, OR WHICH SEPARATELY INCORPORATE THESE TERMS, AND ANY ORDER FORMS, CONSTITUTE A LEGALLY BINDING AGREEMENT BETWEEN YOU AND TS (THE “AGREEMENT”). IF YOU ARE REGISTERING AN ACCOUNT TO ACCESS THE LIBRARY ON BEHALF OF A LEGAL ENTITY, YOU REPRESENT AND WARRANT THAT YOU HAVE THE ACTUAL AUTHORITY TO AGREE TO ENTER INTO THIS AGREEMENT ON BEHALF OF SUCH ENTITY. TS EXPRESSLY RESERVES THE RIGHT TO MODIFY THESE TERMS AND ANY PORTION THEREOF AT ANY TIME BY RELEASING SUCH MODIFIED TERMS ON ITS WEBSITE, TOGETHER WITH AN EFFECTIVE DATE FOR SUCH MODIFIED TERMS. YOU MAY NOT MODIFY THESE TERMS OR ANY PART OF THE AGREEMENT EXCEPT BY A WRITTEN AMENDMENT SIGNED BY TS. IF YOU DO NOT AGREE WITH ANY OF THESE TERMS OR ANY OTHER TERM IN THE AGREEMENT, YOU MAY NOT REGISTER AN ACCOUNT TO ACCESS THE LIBRARY. BY REGISTERING YOUR ACCOUNT, YOU EXPRESSLY AND IRREVOCABLY AGREE TO ALL OF THE TERMS HEREIN AND ANY OTHER TERMS OF THE AGREEMENT GOVERNING YOUR ACCESS TO THE LIBRARY. I. Account, License, and Use Obligations a. Subject to these Terms and upon payment in full for the subscription level you have purchased (your “Subscription”), TS grants you a limited, non-exclusive, revocable, non-transferable and non-sublicensable right to access the Library and to view the educational materials contained therein (the “Materials”), consistent with your Subscription. For avoidance of confusion, the Materials are for viewing purposes only, and may not be downloaded, copied, or otherwise reproduced in any form. No permission to copy the Materials is granted or intended to be granted hereunder. b. In the event the Subscriber is an entity or otherwise purchasing a Subscription for multiple individual users of the Library (each a “Seat Licensee”), TS grants the right described in the preceding sentence to Subscriber for the number of permitted seats (“Seats”) Subscriber has purchased with its Subscription. TS may, in its sole and absolute discretion and for any reason, change, modify, add to or remove Materials contained in the Library without notice to you. Notwithstanding the foregoing, TS is under no obligation to maintain the Library in its current form. c. Each Account, and if Subscriber has purchased multiple Seats, each Seat, shall be assigned to an individual user and may not be transferred to another individual user such that the effect of such transfer is that multiple individual users gain access to the Library and Materials under a single Account or Seat. d. Each Account, and if Subscriber has purchased multiple Seats, each Seat, shall use its own username, password and security information (“Security Information”). You agree to treat all such Security Information as confidential, and you shall not provide such Security Information to third parties or otherwise allow access to your Account(s) and/or Seat(s) except as expressly permitted herein. TS shall have the right to disable any Account that it believes in its discretion is being used by multiple individual users in violation of this Section. c. You hereby acknowledge and understand that TS may, in its sole and absolute discretion, monitor your use of the Library and the Materials contained therein to ensure compliance with this Section and the Agreement. II. Fees and Payment a. You agree to pay the Subscription fee corresponding to the Subscription you have purchased (the “Subscription Fee”). Subscription information is available on TS’s website at www.members.trialstructure.com. b. Subscription Fees are billed for the entire Subscription Term (defined below) and must be paid in full prior to accessing the Library. Subscriber shall pay the Subscription Fee pursuant to TS’s then-current billing and collection practices. Currently, Subscription Fees shall be paid to TS via Stripe, Inc., and you expressly acknowledge that any Stripe terms and conditions governing Subscription Fee transactions, including but not limited to terms and conditions relating to data privacy, shall apply to you under this Agreement. c. You shall be solely responsible for any and all taxes applicable to your Subscription purchase. d. TS reserves the right to change its Subscription Fee amounts at any time, provided however that no such change shall apply to your Subscription until your Subscription renews as described below. III. Term and Termination a. Your Subscription shall commence upon payment in full of the Subscription Fees corresponding to your selected Subscription (The “Effective Date”), and shall continue for the term corresponding to your selected Subscription (the “Initial Subscription Term”). Your Subscription Term shall automatically renew for subsequent terms equal in length to the Initial Subscription Term (each, a “Renewal Term”, and together with the Initial Subscription Term, the “Term”), unless you give notice to TS of your intent not to renew your Subscription at least thirty (30) days prior to the expiration of the Term. b. TS reserves the right to terminate your Subscription or suspend access to the Library for violations or suspected violations of these Terms and/or the Agreement. Your payment obligations shall not be affected in any way by suspensions pursuant to the preceding sentence. c. Notwithstanding the foregoing, if your Subscription Fee is not paid on the Effective Date of any Renewal Term for any reason, your access to the Library shall be suspended until the Subscription Fee is paid in full. For avoidance of confusion, unless you have given notice of your intent not to renew your Subscription as set forth in this Section, you shall be responsible for all Renewal Term Subscription Fees that remain unpaid as of the Effective Date of such Renewal Term. IV. Subscriber Representations and Warranties You, for yourself and on behalf of all your Seat Licensees, if applicable, hereby promise, represent and warrant the following: a. You will comply with all laws and regulations applicable to your use of the Library; b. You will not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store, transmit, or otherwise use the Library, the Materials, or any portion thereof for any purpose whatsoever other than for internal, educational purposes; c. You will not delete, modify, or destroy any notice of legal right, including but not limited to copyright or trademark notices and identifications, appearing on the Materials or anywhere in the Library; d. You will not use the Library in any manner that infringes the intellectual property rights of TS, including but not limited to the rights enumerated in Section V below, or the intellectual property rights of any other third party; e. You and all Seat Licensees, if applicable, are 18 years of age or older. V. TS Intellectual Property a. The Library, together with all Materials contained therein, are the sole property of TS. TS owns all trademarks, service marks, together with all goodwill, copyrights (including moral rights), patents, trade secrets, or any other intellectual property right with respect to the Library and the Materials. b. No right, title, or interest of any kind or type shall be transferred to you or any Seat Licensee(s) based on your right to access the Library as set forth in Section I. All rights not expressly granted herein are reserved by TS. c. You shall have no right to use, for any reason or purpose, any trademark or service mark of TS without TS’s prior written consent, which TS may withhold in its sole and absolute discretion for any reason or no reason. VI. Confidential Information a. You expressly acknowledge that, in the course of using your Subscription, you will have access to information of TS that is of a confidential or proprietary nature, including but not limited to the Materials (“Confidential Information”). Confidential Information also includes but is not limited to any information which by its nature can be reasonably expected to be proprietary and confidential, irrespective of its form, and irrespective of whether a specific designation as “Confidential Information” has been made. b. You shall at all times, both during the Term and thereafter, keep in trust and confidence all Confidential Information using the highest standard of care and shall not use Confidential Information other than as specifically set forth in these Terms and the Agreement. VII. Library Availability a. You expressly acknowledge and understand that the Library may occasionally be unavailable due to upgrades, modifications, maintenance, or other work required or necessary, as determined by TS in its sole and absolute discretion, with respect to Library functionality. You further expressly acknowledge and understand that access to the Library may be delayed or slowed due to Internet traffic and other issues beyond TS’s reasonable control. b. TS will use commercially reasonable efforts to minimize any delays or outages described in this Section. VIII. Subscriber Content, Privacy, and Feedback a. In connection with your Subscription, you and/or your Seat Licensees may communicate information, content, and/or data (“Content”) to TS. Such Content may also include Content related to an identified or identifiable individual (“Personal Data”). In the event that your and/or your Seat Licensees communicate such Personal Data to TS, TS will not knowingly collect, access, use, store, disclose, transfer or otherwise process any such Personal Data except (i) for the purpose of fulfilling its obligations under the Agreement, including but not limited to providing access to the Library; (ii) as permitted by you; or (iii) as required by applicable law. b. Notwithstanding the foregoing, TS may collect Content relating to your use of the Library and compile such Content in a manner such that the compiled Content is not resolvable to an individual person or persons, and use such Content for the purpose of improving the Library service. c. Over the course of your Subscription, you and/or your Seat Licensees may submit suggestions, ideas and/or feedback (collectively “Feedback”) to TS. TS shall be free to use, irrevocably, perpetually and for any purpose whatsoever, such Feedback without any permissions or payment or other consideration to you and/or your Seat Licensees. IX. Restrictions a. You shall access your Account and use the Library or Materials in compliance with all applicable laws, including but not limited to export control and data privacy laws. b. You shall not: (i) execute any harmful or malicious code, files, scripts, agents or programs (“Malware”) that could in any way affect or harm the Library or Materials; (ii) access or use the Library or Materials to compete with TS’s Library Subscription offerings; (iii) except as expressly permitted herein, allow access or make access available to the Library or Materials to any third party; (iv) interfere with or disrupt the integrity, service, or performance of the Library in any way; (v) attempt to gain unauthorized access to the Library or assist third parties in doing the same; or (vi) use the Library or any Materials in furtherance of the violation of the rights of others. c. If TS believes, in its sole discretion, that you have violated or attempted to violate these Terms or any term of the Agreement, or that your use of the Library presents a material security risk, TS may suspend your access, or the access of applicable Seat Licensee(s), if applicable, to the Library until the violation has been corrected. Your payment obligations shall not be affected in any way by suspensions pursuant to the foregoing. X. Disclaimer YOUR USE OF THE LIBRARY AND/OR MATERIALS IS AT YOUR OWN RISK. THE FOREGOING, ALONG WITH ALL OTHER COMPONENTS AND OFFERINGS INCLUDED IN A SUBSCRIPTION (TOGETHER, THE “SERVICES”), ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY STATEMENTS OR WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER TS, ITS AFFILIATES NOR ANY PERSON ASSOCIATED WITH THEM MAKES ANY STATEMENT, WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY OR AVAILABILITY OF THE SERVICES. WITHOUT LIMITING THE FOREGOING, NEITHER TS, ITS AFFILIATES NOR ANYONE ASSOCIATED WITH THEM PROMISES THAT THE SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES OR ANY PORTION THEREOF, WILL BE ACCURATE, RELIABLE, ERROR-FREE OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT THE SERVICES OR THE WEBSITE OR THE SERVER THAT MAKES IT AVAILABLE, ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES WILL OTHERWISE MEET ANY SUBSCRIBER’S OR SEAT LICENSEE’S NEEDS OR EXPECTATIONS. TS AND ITS AFFILIATES HEREBY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT AND FITNESS FOR PARTICULAR PURPOSE. THE FOREGOING DOES NOT AFFECT ANY WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. NO VERBAL OR WRITTEN REPRESENTATIONS, INFORMATION OR ADVICE GIVEN BY TS, ITS AFFILIATES OR THEIR AUTHORIZED REPRESENTATIVE SHALL CREATE A WARRANTY OR IN ANY WAY INCREASE THE SCOPE OF ANY WARRANTY THAT CANNOT BY EXCLUDED OR LIMITED BY APPLICABLE LAW. XI. Limitation of Liability a. IN NO EVENT SHALL TS BE LIABLE FOR ANY LOSS OF PROFITS, LOSS OF USE, INTERRUPTIONS, LOSS OF DATA, COST OF SUBSTITUTE GOODS OR SERVICES, OR FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND IN CONNECTION WITH OR ARISING OUT OF THE PERFORMANCE OF OR FAILURE TO PERFORM THIS AGREEMENT, WHETHER ALLEGED AS A BREACH OF CONTRACT OR TORTIOUS CONDUCT, INCLUDING NEGLIGENCE, EVEN IF TS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. b. IN NO EVENT SHALL TS’S TOTAL, CUMULATIVE LIABILITY UNDER THIS AGREEMENT EXCEED THE LESSER OF (i) THE AMOUNT PAID BY YOU TO TS UNDER THIS AGREEMENT IN THE TWELVE (12) MONTHS IMMEDIATELY PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR (ii) $1,000. c. THE ALLOCATIONS OF LIABILITY IN THIS SECTION REPRESENT THE AGREED AND BARGAINED-FOR UNDERSTANDING OF THE PARTIES HERETO, AND THE COMPENSATION TO TS IN EXCHANGE FOR SUBSCRIBER’S ACCESS TO THE LIBRARY REFLECTS SUCH ALLOCATIONS. THE FOREGOING LIMITATIONS, EXCLUSIONS AND DISCLAIMERS WILL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EVEN IF ANY REMEDY FAILS IN ITS ESSENTIAL PURPOSE. XII. Indemnity a. You shall, at your expense, (i) defend, or at your option settle (subject to TS’s prior written consent) any claim brought against TS, its affiliates, directors, officers, employees and/or agents, arising out of or related to your Subscription or access to the Library and the Materials, including but not limited to your breach of these Terms or any term in the Agreement (each a “Claim”). b. You shall indemnify TS and pay (i) any settlement of a Claim or (ii) any damages finally awarded to a third party by a court of competent jurisdiction as a result of a Claim. XIII. Governing Law and Venue This Agreement will be governed by the laws of the State of Texas, without regard to its conflict of laws principles. For any action for which TS seeks injunctive or other equitable relief as described in Section XIV (Arbitration) below, you hereby irrevocably submit to the personal jurisdiction of the federal and State courts located in Dallas County, Texas. XIV. Arbitration a. For any and all dispute with TS, you expressly agree first to contact TS at info@trialstructure.com and to attempt to resolve such conflict in good faith. In the event that you and TS are unable to resolve such conflict informally, you expressly agree to resolve any claim, dispute, or other controversy arising out of or in connection with this Agreement, by binding arbitration by the American Arbitration Association (“AAA”) under the Commercial Arbitration Rules and Supplementary Procedures for Consumer Related Disputes then in effect for the AAA, except as provided herein. Such arbitration shall be conducted in Dallas County, Texas. Each party shall be responsible for paying any AAA filing, administrator and arbitrator fees. Any award rendered by an arbitrator shall include the costs of such arbitration, reasonable attorneys’ fees and reasonable costs, and any judgment on the award rendered by an arbitrator may be entered in any court of competent jurisdiction. b. All claims must be brought in the parties’ individual capacities, and not as a plaintiff or class member in any purported class or representative proceeding, and, unless TS expressly agrees otherwise in writing, no arbitrator may consolidate more than one individual’s claims. c. You agree that, by entering into this Agreement, you are waiving the right to a trial by jury or to participate in a class action with respect to any claim, dispute, or other controversy arising out of or in connection with this Agreement. d. Notwithstanding anything to the contrary in the foregoing, TS shall have the right to seek injunctive or other equitable relief in any court of competent jurisdiction as necessary to prevent the actual or threatened infringement, misappropriation, or violation of TS’s data, intellectual property, or other proprietary rights. XV. Notices Any notice or other communication under this Agreement given by either party to the other will be deemed properly given if given in writing and delivered by email, with receipt acknowledged, or by first class mail, if properly addressed and stamped with the required postage, to (i) if to TS, at info@trialstructure.com or Trial Structure, LLC, 12770 Coit Road, Suite 720, Dallas TX 75251, or (ii) if to you, at the email and/or mailing address listed on your Account. Either party may change its address(es) for notices from time to time by giving the other party notice of such change in accordance with this Section. XVI. General a. You may not assign this Agreement, in whole or in part, without the prior written consent of TS. Any assignment in violation of the foregoing shall be void ab initio and of no effect. Subject to the foregoing, this Agreement is binding upon, inures to the benefit of, and is enforceable by, the parties and their respective successors and assigns. Nothing herein shall restrict TS from assigning its rights or obligations to third parties. b. You hereby consent to TS’s identification of you as a Subscriber, including via a press release or other promotional means. c. The failure of either party to enforce any provision of this Agreement or to exercise any rights or remedies under this Agreement will not be interpreted or construed as a waiver of such party’s right to assert or rely upon such provision in that or any other instance. d. If any provision or portion of a provision of this Agreement is held to be invalid or unenforceable, the remaining portions will remain in full force and effect and such provision will be enforced to the maximum extent possible so as to give effect to the intent of the parties and will be reformed to the extent necessary to make such provision valid and enforceable. e. This Agreement constitutes the entire agreement between the parties concerning its subject matter, and it shall supersede all prior proposals, agreements, or other communications between the parties, whether oral or written, regarding its subject matter. In the event of any conflict between the terms and conditions of these Terms and any other terms, conditions, policies, exhibits or order forms included in the Agreement, the terms and conditions of these Terms shall control.
